Background

EZETO Sweden AB (publ), 5593277691 (the “Company”) was declared bankrupt on its own application on 23 January 2025. Attorney-at-law Matilda Barkman was appointed as bankruptcy trustee. The Company is a start-up in the transport sector. In 2023, the Company acquired all intangible assets, including the Heap platform, from Heapster AB’s bankruptcy estate and has since then further developed the platform under the name EZETO (the “Platform”). The Platform is developed to enable the rental of transport vehicles in a simple, efficient and user-friendly way. The Platform is aimed at both private individuals and companies and offers a modern solution where users can rent or lease vehicles via a mobile application and web portal. The platform is specifically designed for the rental of large and heavy vehicles such as vans, lorries and other transport solutions. The platform is not yet finalised. The rental that has previously taken place under the name EZETO has taken place through another leased platform. That platform is not included in the sale.

Assets and contracts

The assets offered for sale by the bankruptcy estate are all the Company’s intangible assets. The sale also includes the right to enter into the Company’s existing contracts (subject to the counterparty’s approval).

Reservations and disclaimers

The bankruptcy estate transfers all property in its existing condition. It is incumbent on a buyer to carry out the necessary inspection of the property in order to clarify, for example, the extent of the property and to detect any defects and deficiencies. The bankruptcy estate does not guarantee the accuracy and completeness of the information provided in this advert, the offer document or otherwise. The purchaser will be required to accept a full disclaimer. The Receivership Estate makes no representations or warranties as to the ability of a purchaser to use or dispose of any intellectual property rights. The use of transferred intellectual property rights is at the buyer’s risk. A takeover of property covered by agreements always requires the approval of the counterparty to the respective agreement.

Tender period, tender documents and bidding

Bids are accepted primarily for the entire business and secondarily for parts of the business and its assets. Complete tender documents can be obtained after entering into a confidentiality agreement, send a request to the bankruptcy trustee. Written tenders, excluding VAT, regarding the business or parts of the business/assets must be received by the bankruptcy administration through Matilda Barkman at matilda.barkman@wadv.se no later than 16 March 2025 at 24.00. The highest bid may be communicated with other bidders who will then be given the opportunity to increase their bid within a shorter period of time determined by the bankruptcy estate.

However, the bankruptcy estate will not disclose the identity of the bidders. The bankruptcy estate reserves the right to freely review the bids received and the right to sell all or part of the business during the bidding process and the right to extend the bidding period.
